Terms of Service

These terms govern your use of dropshippingbuilder.ai (the “Site”), operated by Outright Ecom Inc., operating as Dropshipping Builder AI (“we”, “us”, “our”). By using the Site or requesting a store, you agree to them. If you do not agree, do not use the Site.

1. What the Site does

The Site helps you set up an online store on Shopify, pre-loaded with products sourced through AutoDS, at no charge from us. We are an independent partner of Shopify and AutoDS: we may receive a commission when you start a Shopify plan or subscribe to AutoDS. Shopify and AutoDS are separate companies with their own terms, which apply to your Shopify account and your AutoDS account respectively.

2. Eligibility

You must be at least 18 years old and able to enter into a binding contract. One free store per person. You confirm that the phone number and the email address you give us are yours, or that you are their regular user, and that you may give the consents in these terms for them.

3. Your store and your accounts

• The store is created for you and transferred to your own Shopify account when you claim it. From that moment it is yours: you are the merchant of record, responsible for what you sell, your taxes, your customers and compliance with the laws that apply to you.
• Shopify plans, trials and fees are set by Shopify. AutoDS subscriptions are set by AutoDS. We do not charge you for the store.
• You are responsible for keeping your login details and any access codes you share with us confidential. We store access codes encrypted and use them only to finish setting up your store.

4. Calls, texts and emails

When you give us your phone number, you ask us to contact you about your store, and you agree that Outright Ecom Inc., operating as Dropshipping Builder AI, and the sales and support team that works on our behalf, may call and text you at that number about your store, the course, coaching and community that come with it, and related offers from us and our partners. Calls may be placed by a person, by an automatic dialing system, or with a pre-recorded or artificial voice, including an AI voice. Texts may be sent by a person or by an automated system, including an AI assistant.

You ask us to reach you as soon as you submit your details. You agree that we may call or text you at any time of day, including right after you submit and outside normal business hours, and again later as follow-ups while your store setup is open and after it. Where a law limits the hours or the number of calls, we follow that law.

• Your consent to calls and texts is not a condition of any purchase. You can withdraw it at any time. Your store and your course access are not affected.
• Message frequency varies. Message and data rates may apply. Reply STOP to any text to stop texts, or HELP for help.
• To stop calls or texts, tell the caller, reply STOP, or email support@dropshippingbuilder.ai. We honour a request made in any reasonable way within 10 business days. Until then a call or text already on its way may still reach you.
• If you give up your phone number or it changes, tell us, so we do not reach someone else at it.
• Mobile carriers are not liable for delayed or undelivered messages.
• Your consent stays valid until you withdraw it, whether or not you finish the store setup.

5. Call recording

We may record and monitor calls with you for training, quality and record-keeping. By staying on a call after you are told it may be recorded, or after you have accepted these terms, you agree to the recording. If you do not want a call recorded, say so at the start of the call and we will stop the recording or end the call.

6. Electronic communications

You agree to receive notices, disclosures and other communications from us electronically: on the Site, by email or by text. They satisfy any legal requirement that a communication be in writing. Keep your email address and phone number current with us.

7. Training, coaching and community

Where the Site includes access to a course, coaching sessions or a community, they are provided as-is for educational purposes. Content, schedules and availability may change. Community access is subject to its own rules of conduct.

8. No guarantee of results

Running a store is a business. We make no promise that you will earn any particular amount, or anything at all. Examples on the Site are illustrative; see the Earnings disclaimer.

9. Acceptable use

You may not use the Site to build stores for illegal goods, to infringe others’ rights, to send spam, or to interfere with the Site or our partners’ systems. We may decline or withdraw a store request at our discretion.

10. Intellectual property

The Site, its design and content belong to us or our licensors. The store theme, product data and images provided through our partners are licensed to you for use in your store under the partners’ terms.

11. Limitation of liability

To the fullest extent permitted by law, the Site and the store are provided “as is”. We are not liable for indirect, incidental or consequential losses, lost profits, or for the acts or omissions of Shopify, AutoDS or any other third party. Our total liability to you for any claim arising from the Site is limited to USD 100.

12. Indemnification

You will defend and indemnify us, our officers, employees, partners and agents against claims, losses and costs, including reasonable legal fees, that arise from your store, what you sell, your use of the Site, or your breach of these terms or of any law.

13. Changes and termination

We may update these terms or stop offering the Site at any time. Continued use after a change means you accept the new terms.

14. Governing law

These terms are governed by the laws of British Columbia, Canada and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to section 15, disputes will be brought in the courts of British Columbia, and you agree to their jurisdiction.

15. Dispute resolution

Read this section carefully. It affects your rights.

• Talk to us first. Before you start a claim, email support@dropshippingbuilder.ai with your name, your contact details and a description of the problem. We will try to resolve it with you within 30 days.
• Individual arbitration. If we cannot, any dispute about the Site, the store, our communications with you (calls, texts and emails included) or these terms is resolved by binding arbitration before one arbitrator, not in court. For a resident of the United States the arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules. For everyone else it is administered by the Vancouver International Arbitration Centre under its rules. The arbitration is held by video, by phone or on written submissions unless both sides agree otherwise. The arbitrator applies the law in section 14 and may award the same individual relief a court could.
• No class actions. You and we each bring claims only on an individual basis, not as a plaintiff or class member in any class, consolidated or representative action. The arbitrator may not combine the claims of more than one person. If this waiver is found unenforceable for a claim, that claim goes to the courts named in section 14, not to arbitration.
• Small claims. Either side may bring an individual claim in a small claims court that has jurisdiction, instead of arbitration.
• Opt out. You can reject this arbitration agreement by emailing support@dropshippingbuilder.ai within 30 days of the day you first accept these terms, with your name, your phone number and the words “arbitration opt-out”. The rest of the terms still apply.

16. General

These terms, with the Privacy Policy and the Earnings disclaimer, are the whole agreement between you and us about the Site. If a part of them is unenforceable, the rest stands. If we do not enforce a part, we may still do so later. You may not assign these terms; we may assign them to a successor of our business. Sections 4 to 6, 8, 11, 12, 14 and 15 survive if your use of the Site ends.
